Noteworthy Medical Systems and MARS Medical Systems Merge Technologies to Provide Integrated Single-Source Physician Practice Solution

CLEVELAND, OH and PHOENIX, AZ (March 18, 2008)—Noteworthy Medical Systems, originator of the market's only three-screen ambulatory electronic health record (EHR), announced today that it has signed a definitive agreement to acquire strategic partner MARS Medical Systems, a leading provider of practice management solutions to physician groups. Both Noteworthy and MARS are privately held. The new company will retain the name Noteworthy Medical Systems and will serve a combined customer base across 43 states, with company locations in Cleveland, Ohio; Phoenix, Arizona; and Pocatello, Idaho.

"I'm delighted we've been able to put these two outstanding companies and product lines together," said Larry Dolin, Noteworthy's chairman of the board and CEO. "MARS Medical Systems is an outstanding success story whose applications and team will accelerate the future growth of the combined organizations as well as that of our customers—their success is my top priority."

MARS Medical Systems is a rapidly growing, highly successful, private company founded in 1984 and headquartered in Phoenix, Arizona. Holding true to a vision of providing the best tools for managing the physician practice, MARS has managed solid growth and consistent positive cash flow. MARS has been a market leader since 1999 when it introduced NetPractice™, the industry's first fully functional, browser-based practice management system. A year later the company developed WebPractice, the first self-hosting, browser-based, secure patient portal. A series of productivity-enhancing tools have since been added to the NetPractice™ product portfolio. MARS is also a state-of-the-art electronic clearinghouse providing eligibility verification, claims, remittance advice and patient statements."

The combined technologies of the two companies gives us the ability to offer a complete continuum of products and services to meet the varied needs of individual practices across the country and the national presence to back it up," said Mark Conner, MARS president and CEO.

"Bringing Noteworthy and MARS together makes a lot of sense in the current market environment," said Paul Ruflin, president and COO of Noteworthy. "Our competitors typically do not have strength in both their PM and EHR applications; strength in one is usually to the exclusion of the other. Since Noteworthy and MARS are best-of-breed in their respective market segments, the merged company is uniquely positioned to offer a better standard: an easy to use, single-source, single database solution for the medical practice. Based on our track record, our customers can be confident that we will continue to successfully deploy our products and enable them to achieve higher levels of performance in every aspect of their operation." The new company's flagship products will be called NetPracticePM™ and NetPracticeEHR™ (formerly NetPractice™ and the CCHIT CertifiedSM NoteworthyEHR).

In 2008, Noteworthy Medical Systems will offer Revenue Cycle Outsourcing services to its customers, a natural extension of the complete continuum of products and services currently provided. In 2008, Noteworthy will more than quadruple the size of its combined marketing and sales force. In addition, the company is expanding its development and customer support groups to ensure it continues to offer the best products and services in the industry. Noteworthy markets its products to both small and large independent practices as well as small and large hospital-owned or affiliated practices.
